1. Introduction
These Terms of Service ("Terms") govern your use of the Ads MCP service provided by Colibryx S.r.l., with registered office at Via Riccardo Felici 11, 37135 Verona, Italy (VAT IT04901390239).
By requesting access to and using Ads MCP, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the service.
2. Service Description
Ads MCP is an AI-powered Google Ads management tool that operates via the Model Context Protocol (MCP). It provides 197+ tools for campaign creation, monitoring, optimization, and reporting across the following platforms:
- Google Ads
- Google Analytics 4
- Google Tag Manager
- Google Search Console
- Google Business Profile
3. Account & Access
Access to Ads MCP is granted upon approval of your access request. You must provide valid Google OAuth credentials to authenticate and use the service.
You are responsible for maintaining the confidentiality and security of your credentials. Any activity that occurs under your account is your responsibility.
Access may be revoked at our discretion for violation of these Terms or for any other reason we deem necessary to protect the integrity of the service.
4. User Obligations
As a user of Ads MCP, you agree to:
- Maintain a valid Google Ads account in good standing;
- Comply with all applicable Google Ads policies and all applicable laws and regulations;
- Not misuse the service, including but not limited to excessive API calls, reverse engineering, or unauthorized access;
- Not use the service for any unlawful purpose or in any manner that could damage, disable, or impair the service.
You are solely responsible for all changes applied to your Google Ads accounts through Ads MCP, including any financial consequences arising from those changes.
5. Data Handling
Our handling of your personal data is described in our Privacy Policy.
OAuth tokens are encrypted and stored locally on your machine. We do not store your Google Ads data on our servers. All API calls are made directly from your environment to Google's APIs.
6. Google API Terms
Your use of Google APIs through Ads MCP is subject to Google's API Terms of Service and Google Ads API Terms and Conditions.
You acknowledge that Ads MCP's use of Google API data adheres to the Google API Services User Data Policy, including the Limited Use requirements.
7. Safety & Guardrails
Ads MCP includes built-in safety measures designed to protect your accounts from unintended changes:
- All mutating operations default to dry-run mode, requiring explicit confirmation before execution;
- Server-side guardrails limit budget increases to a maximum of 50% per operation;
- Daily budgets are capped at a maximum of €10,000;
- Mutation rate is limited to a maximum of 30 operations per minute.
Despite these safety measures, you remain ultimately responsible for reviewing and confirming all changes before they are applied to your accounts. Colibryx S.r.l. is not liable for any changes you authorize through the service.
8. Intellectual Property
Ads MCP software, documentation, and all related intellectual property are owned by Colibryx S.r.l. All rights not expressly granted herein are reserved.
Your access to Ads MCP does not grant you any ownership rights or license to reproduce, distribute, modify, or create derivative works of the software.
9. Limitation of Liability
Ads MCP is provided "as is" and "as available" without warranty of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
To the maximum extent permitted by applicable law, Colibryx S.r.l. shall not be liable for:
- Any indirect, incidental, special, or consequential damages;
- Loss of profits, revenue, or data;
- Advertising performance results or campaign outcomes;
- Actions taken by Google on your account, including policy enforcement or account suspension.
Our total aggregate liability for any claims arising out of or related to these Terms or the use of Ads MCP shall not exceed the total fees paid by you to Colibryx S.r.l. in the twelve (12) months preceding the event giving rise to the claim.
10. Termination
Either party may terminate this agreement at any time by providing written notice to the other party.
Upon termination:
- Your access to Ads MCP will be revoked immediately;
- OAuth tokens stored on your machine should be deleted by you;
- You retain full ownership of your Google Ads data and accounts.
11. Changes to Terms
We reserve the right to update or modify these Terms at any time. Material changes will be communicated via email or through a prominent notice on our website.
Your continued use of Ads MCP after such notice constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue use of the service.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of Italy, without regard to its conflict of law provisions.
Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Verona, Italy.
